    Contract Review

Review a contract package into a cited obligations tracker, a risk memo, and a missing-terms list.

The negotiation list, built before the call

A contract this size, reviewed by an associate, produces a memo that takes a day and misses the gaps. The skill produces the full tracker in minutes, with every term cited to its clause.

Every term, cited to its clause

Every obligation, deadline, and financial term is extracted with its clause citation. If a term cannot be cited, it is not in the output.

    The risks, with a position

Every risk flag has the clause, the reason, and a suggested position. The negotiation strategy starts from the table, not from a reread.

    The gaps, surfaced

The missing terms list names every standard term that is absent, with why it matters. That is what most first pass reviews miss.

What the skill does for you

Four stages, one run. From signature block to negotiation list.

    1. 1

      Parse the contract

      The section map

      • Parties, effective date, term, and every section identified
      • A section map: number, title, one line summary
      • Unreadable portions go to Exceptions, never guessed at

The outcome: A complete structural map of the contract, before the terms are read.

    2. 2

      Extract terms and obligations

Who must do what, by when

      • Every obligation, right, fee, date, and limitation extracted
      • Each with a stable id and clause citation
      • Liability, indemnity, warranty, IP, confidentiality, termination, renewal, governing law, dispute resolution

The outcome: A term base where every row points to the clause it came from.

    3. 3

      Flag the risks

      Deviation from your standard

      • Each term compared against your stated standard or market norm
      • High, medium, or low, with the reason and a suggested position
      • Market references are labeled as general references, not citations to authority

The outcome: A risk table that is the negotiation list, with a position for each flag.

    4. 4

      Build the tracker and memo

      The review, on one page

      • Obligations, deadlines, financial terms, risk flags, and missing terms in one cited XLSX workbook
      • The review memo is generated from the same fact base
      • When an amendment arrives, re run and the tracker shows what changed, clause by clause

The outcome: A draft for attorney review that tells you what the contract says, what it risks, and what it leaves out.

    Built to be defensible

    Runs on your infrastructure

The skill operates on your own Pokee deployment, including fully offline or air gapped environments. Contract data does not leave your control.

    Every term is cited

Every tracker row and every memo statement points to a clause. If a term cannot be cited, it is not in the output.

    No legal conclusions

The skill does not tell you whether to sign, and it does not redline the contract. Risk flags are working assessments, for attorney review.
